Binding Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you and CinemaVision Academy. By accessing our website, enrolling in our courses, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

Liability Disclaimers and Warranty Limitations

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, CinemaVision Academy disclaims all warranties, including but not limited to:

  • Implied Warranties of Merchantability: We do not warrant that our services are suitable for any particular purpose or will meet your specific requirements.
  • Warranties of Fitness for a Particular Purpose: We make no guarantees about specific outcomes, career advancement, or professional success resulting from our courses.
  • Warranties of Non-Infringement: While we respect intellectual property rights, we cannot guarantee that all content on our website or in our courses is free from infringement claims.
  • Warranties of Accuracy or Completeness: We strive for accuracy but do not warrant that our content, course materials, or information are error-free, complete, or current.
  • Warranties of Uninterrupted or Secure Service: We cannot guarantee that our services will be available at all times, error-free, or free from viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, CinemaVision Academy and its affiliates, officers, directors, employees, instructors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data, goodwill, or reputation
  • Cost of procurement of substitute goods or services
  • Emotional distress or personal injury (except where prohibited by law)
  • Any other indirect or consequential losses

Our aggregate liability to you for all claims arising from or related to our services shall not exceed the total amount you paid to CinemaVision Academy for services during the twelve-month period preceding the event giving rise to the liability, or one hundred thousand Japanese Yen, whichever is greater.

Exclusion of Consequential Damages

CinemaVision Academy shall not be liable for any consequential damages arising from:

  • Your inability to access or use our services for any reason
  • Unauthorized access to or alteration of your data or communications
  • Statements or conduct of any third party on our services
  • Interruption, suspension, or termination of our services
  • Errors, mistakes, or inaccuracies in our content or course materials
  • Equipment or property damage resulting from your use of our services

Force Majeure Provisions

CinemaVision Academy shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, shortages of transportation facilities, fuel, energy, labor, or materials, pandemic or epidemic diseases, or government restrictions.

Legal Information and Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding between you and CinemaVision Academy for any purpose concerning these Terms and Conditions or the parties' obligations hereunder shall be brought exclusively in the courts of Tokyo, Japan.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or our services, the parties agree to follow this dispute resolution procedure:

  1. Informal Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiations. Either party may initiate negotiations by sending written notice to the other party describing the nature of the dispute and proposing a resolution.
  2. Mediation: If the dispute cannot be resolved through informal negotiations within thirty days, the parties agree to participate in mediation administered by a mutually agreed-upon mediator in Tokyo, Japan. The costs of mediation shall be shared equally unless otherwise agreed.
  3. Litigation: If mediation is unsuccessful, either party may pursue litigation in the appropriate courts of Tokyo, Japan. By using our services, you consent to the personal jurisdiction of these courts and waive any objection to venue in Tokyo.

Jurisdiction and Venue

You agree to submit to the personal and exclusive jurisdiction of the courts located in Tokyo, Japan, for the resolution of any disputes. You waive any right to object to the jurisdiction or venue of such courts on the basis of inconvenient forum or any other basis.

Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against CinemaVision Academy.

Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of our services or these Terms and Conditions must be filed within one year after such claim or cause of action arose, or be forever barred.

General Provisions

Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms and Conditions or your rights and obligations hereunder without our prior written consent. CinemaVision Academy may assign these Terms and Conditions or any rights hereunder without restriction, including to any of its affiliates or in connection with a merger, acquisition, or sale of assets.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any other legal notices or agreements published by us, constitute the entire agreement between you and CinemaVision Academy regarding your use of our services and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.

Section Headings

The section headings in these Terms and Conditions are for convenience only and have no legal or contractual effect. They do not limit or affect the interpretation of any provision.

Language

These Terms and Conditions are written in English. Any translations provided are for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.

CinemaVision Academy reserves the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. When we make changes, we will:

  • Post the modified Terms and Conditions on our website
  • Notify enrolled students of material changes via email if such changes affect their current enrollment

Your continued use of our services after any modifications to these Terms and Conditions constitutes your acceptance of such modifications. If you do not agree to the modified terms, you must discontinue your use of our services immediately.
